Terms of Service

These Terms of Service ("Terms") govern your access to and use of the website grid-marketing.com (the "Site") and the services provided by GRID (referred to as "we," "us," or "our"). By accessing or using our Site and services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our Site or services.

1. Acceptance of Terms

By engaging GRID for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. These Terms constitute a legally binding agreement between you and GRID.

2. Services Provided

GRID provides professional website design, development, and digital automation services, offered through various packages (Bronze, Silver, Gold) and optional add-ons as detailed on our Site. Our services include, but are not limited to:

  • Website creation and development.

  • Implementation of forms and automation systems.

  • Website hosting and maintenance.

  • Security measures and backups.

3. Unlimited Revisions Policy

Our "unlimited revisions" policy is designed to ensure your complete satisfaction with the final website design. This policy covers minor changes such as text edits, image swaps, and small color or font adjustments that do not require a significant change to the overall site structure or layout.

Please note, this policy does not cover:

  • A complete redesign of a page or the entire website.

  • Adding new features or functionality not included in the original agreement.

  • Major changes to a page's layout or structure.

Requests for these types of changes will be handled as separate add-on services and will be quoted accordingly. This approach gives you full control over the project scope and budget, ensuring a transparent and productive collaboration.

4. Client Responsibilities

You agree to:

  • Provide Content: Timely provide all necessary website copy, images, logos, and any other content required for the initial setup of your website. Delays in content provision may impact project timelines.

  • Accuracy of Information: Ensure all information provided to GRID is accurate, complete, and truthful.

  • Review & Approval: Promptly review and approve design mock-ups, website builds, and any other deliverables provided by GRID.

  • Access: Provide necessary access to third-party accounts (e.g., domain registrar, hosting, email marketing platforms) as required for service delivery.

  • Compliance: Ensure your use of the website and services complies with all applicable laws and regulations.

5. Payment Terms

  • Lump Sum Payment: A one-time setup fee is payable upfront. The monthly hosting and management fee will be automatically charged on a recurring basis, starting 30 days after initial payment.

  • Monthly Subscription: For clients opting for the monthly subscription, the first payment is due upfront. Subsequent payments will be automatically charged on a monthly recurring basis from the first day of the initial payment. To ensure we can cover the costs of creating the site, clients on this plan are committed to a minimum contract term of six (6) months and will remain financially responsible for the full contract term of six (6) months.

  • Add-On Services: Fees for optional add-on services (e.g., additional pages, major revisions, specific automations) will be charged as agreed upon.

  • Third-Party Costs: You are solely responsible for any third-party subscription fees (e.g., premium plugin licenses, email marketing platform subscriptions, payment gateway transaction fees) not explicitly included in your chosen GRID package.

6. No Refunds Policy

All setup fees, monthly service fees, and fees for add-on services paid to GRID are strictly non-refundable. This policy reflects the commitment of resources, time, and expertise allocated to your project from the moment of engagement. In the event of project cancellation by the Client, any payments made remain non-refundable.

7. Intellectual Property

  • Client Content: You retain all ownership rights to the text, images, and other content you provide for your website. You grant GRID a non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of providing the services.

  • GRID's Work: Upon full payment of all applicable fees, GRID grants you a non-exclusive, perpetual license to use the final website design and code developed specifically for you, for the purpose of operating your website. GRID retains ownership of any underlying tools, frameworks, generic code, or intellectual property used in the development process that are not unique to your specific content.

  • Portfolio Rights: You agree that GRID may display the completed website in its portfolio and marketing materials.

8. Legal Action, Indemnity, and Limitation of Liability

  • Indemnification: You agree to indemnify, defend, and hold harmless GRID and its employees from any and all claims, damages, liabilities, costs, and expenses (including, without limitation, reasonable legal fees) arising from any legal action or third-party claim brought against us that is in any way connected to your use of our services, or any content you provide for use on the website. This includes, but is not limited to, claims of copyright infringement, defamation, or any breach of these Terms.

  • Limitation of Liability: In no event will GRID be liable to you or any third party for any indirect, incidental, special, or consequential damages, including, but not limited to, loss of profits, data, or business interruption, arising from or related to the services, even if we have been advised of the possibility of such damages. We do not warrant that the services will be uninterrupted, error-free, or free of viruses or other harmful components. Our total liability to you for any and all claims shall not exceed the total amount paid by you for the services during the twelve months preceding the claim.

9. Disclaimer of Warranties

Our services are provided "as is" and "as available" without any warranties of any kind, either express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance. GRID does not warrant that the services will be uninterrupted, secure, or error-free.

10. Termination

  • By Client: You may terminate your monthly service agreement at any time by providing written notice to GRID. Clients on the monthly subscription plan may only terminate their agreement after the initial three (3) month contract term. Termination will be effective at the end of the current billing cycle, at which point your website will be taken offline. Setup fees remain non-refundable.

  • By GRID: We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

11. Governing Law

These Terms shall be governed and construed in accordance with the laws of England and Wales, without regard to its conflict of law provisions. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the resolution of any disputes.

12. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our services after those revisions become effective, you agree to be bound by the revised terms.
