1. Acceptance of Terms
By accessing the Site or engaging GRID for any services, you acknowledge that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. These Terms constitute a legally binding agreement between you and GRID.
2. Infrastructure Packages & Scope of Services
GRID provides professional website design, custom development, and fully managed CRM architecture. Services are delivered based on the tier selected by the Client:
Gold Infrastructure: Includes a 5-Page High-Conversion Framework, custom CSS/JS integration, On-Page SEO build-out, custom CRM architecture, lead capturing systems (including multi-staff sync calendar, web-chat widget, SMS/email alerts, and deposit gateways), and cloud scaling management.
Platinum Enterprise: Includes an 8-Page Main Brand Asset paired with a 3-Page Omnichannel Funnel, premium VSL layout architecture, core web vitals script minification, Omnichannel CRM integration (Centralised Conversations Feed), advanced automation engines, enterprise finance systems, and a Reputation Scale Engine.
3. Definition of a Month & Payment Terms
Definition of a Month: Within these Terms and all service delivery, a billing cycle, month, or monthly term is strictly defined as twenty-eight (28) days.
Payment Immediacy: All upfront setup fees are due immediately upon project engagement and signing. GRID will not commence onboarding, design, infrastructure allocation, or development work until the setup fee has been successfully processed and cleared.
Management Cycles: Recurring management and hosting fees auto-bill every 28 days via Stripe, commencing automatically 28 days after the initial setup payment is processed.
4. Variable Utility Re-billing (WhatsApp, SMS, & Email)
Standard Usage: Standard business email volume is included within your baseline management fee. GRID reserves the right to adjust billing should email volumes reach extreme, non-standard enterprise levels.
Usage-Based Charges: Advanced third-party utility functions, specifically WhatsApp business messages and outbound SMS text messages, incur variable per-usage costs driven by system infrastructure architecture.
Subscription Adjustments: You agree that GRID will automatically adjust your recurring 28-day subscription billing, or issue an immediate supplemental invoice, to cover the exact usage costs of these extra communication lines. GRID reserves the right to recalculate these figures based on your live outbound volume.
5. Strict 1-Month Build & Revision Window
Fixed Timeline: The Client has exactly one (1) calendar month from the date of engagement/signing to request adjustments, revisions, or edits to the systems built by GRID.
Client Delay Policy: Delays on the Client's part in providing branding assets, text copy, images, logos, or login credentials will not pause, delay, or extend this 1-month window. Revisions requested after this 1-month window has elapsed will automatically be categorised as ongoing maintenance.
Scope of Revisions: Revisions during this initial build window apply strictly to the website front-end, automation workflows, and outbound communications built by GRID sent to your leads.
6. Ongoing Maintenance & Additional Development
Included Allocation: Your ongoing 28-day management fee includes a set allocation of development hours for minor tweaks, adjustments, or layout changes (2 hours for Gold, 5 hours of priority next-day support for Platinum).
No Roll-Over: Unused development allocation hours expire automatically at the end of each 28-day billing cycle and do not roll over.
Overage Rate: Any system modifications, structural layout shifts, new page creations, new automation builds, or updates exceeding your package's allocated monthly hours will be billed at our standard overage rate of £85 per hour. This requires Client written authorisation before work begins.
7. System Architecture & Access Restrictions
Granted Access: GRID will provide the Client with User/Staff-level frontend credentials to the CRM interface. This grants full access to the interactive workspace, conversations feed, calendars, pipelines, and contact databases.
Restricted Access: The Client explicitly acknowledges that they will not be granted Admin-level settings, developer-level backend access, content management system (CMS) structural access, or direct editing access to core system code and automation workflows. This restriction is strictly enforced to protect the proprietary integrity of GRID's frameworks and prevent system breakage. All core layout and automation changes must be processed through GRID management services.
8. Data Security & GDPR Compliance
Client Data Ownership: GRID explicitly acknowledges that all lead information, customer databases, contact records, pipeline info, and interaction history captured or stored within your specific CRM instance belongs exclusively to the Client. GRID claims no right, title, or interest in your customer data.
Data Processing: GRID acts as a data processor on behalf of the Client (the data controller). GRID warrants that customer data flowing through your CRM pipelines, contact forms, and chat widgets will be stored securely in strict accordance with the UK General Data Protection Regulation (GDPR) and the Data Protection Act 2018.
Compliance: The Client remains solely responsible for ensuring and displaying an appropriate end-user privacy policy on their live domain.
9. No Refunds Policy
All setup fees, monthly service fees, and fees for add-on services paid to GRID are strictly non-refundable. In the event of project cancellation by the Client, any payments made remain non-refundable, reflecting the commitment of resources, time, and expertise allocated to your project from the moment of engagement.
10. Termination & Payment Defaults
By the Client: The Client may cancel their ongoing management subscription at any time by providing written notice. Termination will take effect at the end of the current 28-day billing cycle, at which point all live user-facing websites, hosting, funnels, active automation workflows, and CRM systems managed by GRID will be permanently taken offline.
Payment Default: If a Client fails to clear a scheduled 28-day payment, cancels direct debits, or blocks automated billing, GRID reserves the right to instantly suspend all services and terminate the live site environment without notice until the account is brought into good financial standing.
11. Client Responsibilities
To maintain project timelines, you agree to:
Provide Content: Promptly provide all necessary website copy, logos, images, preferred color schemes, and branding content. Delays may impact project timelines.
Access: Provide necessary access to third-party accounts (e.g., domain registrars) for domain pointing.
Review & Approval: Promptly review and approve design mock-ups and deliverables within three (3) business days of receipt.
Compliance: Ensure your use of the website complies with all applicable UK laws and regulations.
12. Intellectual Property & Marketing
Client Content: You retain all ownership rights to the content, images, and logos you provide. You grant GRID a non-exclusive, royalty-free license to use and display your content solely for the purpose of providing the services.
GRID Ownership: GRID retains exclusive intellectual property ownership of the underlying software architecture, system frameworks, proprietary generic code, custom automations, and backend configurations. Upon full contract payoff, you receive a perpetual license to display the final user-facing design live on your domain while hosted with us.
Showcase & Review Clause: You agree that GRID has the absolute right to publicly showcase the completed website, funnel, and interface layouts within its marketing portfolios and social media channels for advertising purposes. Upon successful completion and launch, you agree to provide an honest public review of GRID's services on our designated review platform.
13. Legal Action, Indemnity, and Limitation of Liability
Indemnification: You agree to fully indemnify, defend, and hold harmless GRID and its employees from and against any and all claims, losses, liabilities, legal proceedings, or damages (including reasonable solicitors' fees) arising out of any third-party claims against GRID connected to your use of our services, any content you provide, or claims that your website infringes on another brand's copyright, trademark, or intellectual property rights.
Limitation of Liability: GRID provides services "as is" and "as available." In no event will GRID be liable for any indirect, incidental, special, or consequential damages, including loss of profits or data, arising from or related to the services. Our total liability to you for any and all claims shall not exceed the total amount paid by you for the services during the twelve months preceding the claim.
14. Governing Law
These Terms shall be governed and construed in accordance with the laws of England and Wales. You agree to submit to the exclusive jurisdiction of the courts located in England and Wales for the resolution of any disputes.
15. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
